About us and these terms

This website at www.thepadeldirectory.co.uk (the "Site") is operated by The Padel Directory Limited ("TPD", "we","us", "our"), a company registered in Englandand Wales under company number 15494888, with its registered office at StreetsSteele, Stanway House, Almondsbury Business Centre, Bristol, BS32 4QH.

These Terms of Use (the "Terms") set out the terms on which you may accessand use the Site, whether as a visitor, a registered member, a listed business,or by automated means. They form a legally binding agreement between you andTPD.

Acceptance

By accessing, browsing, crawling or otherwise using the Site, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, you must not use the Site.

If you access the Site by automated means, you accept these Terms on behalf of yourself and the organisation operating that automated process, and you confirm you have authority to do so. Section 8 applies to you in full.

Our Privacy Policy and our Cookie Policy also apply to your use of the Site and are incorporated into these Terms by reference.

Changes to these terms and to the Site

We may amend these Terms at any time by updating this page. Changes take effect from the date shown at the top of this page. You are responsible for checking this page from time to time. Continued use of the Site after a change constitutes acceptance of the amended Terms.

Where a change materially affects an existing authorisation granted under section 8, we will give the authorised party at least 30 days' notice by email before the change takes effect.

We may update, suspend, withdraw or restrict all or any part of the Site without notice. We do not guarantee that the Site, or any content on it, will always be available or uninterrupted.

Accessing the Site and member accounts

Access to the Site is permitted on a temporary basis. Some areas of the Site require registration through our membership platform.

If you register for an account:

  • you must provide accurate, current and complete information, and keep it up to date;
  • you are responsible for keeping your login credentials confidential and for all activity under your account;
  • you must not share, sell or transfer your account, or allow any other person or system to use it;
  • you must notify us immediately at hello@thepadeldirectory.co.uk if you suspect unauthorised use.

We may suspend or terminate any account at any time, with or without notice, if we reasonably believe these Terms have been breached.

Listings and content you submit

If you submit a player profile, business listing, event, job, review, image, logo or any other material to the Site ("Your Content"), you confirmthat:

  • Your Content is accurate and not misleading;
  • you own Your Content or have all necessary rights and permissions to submit it;
  • Your Content does not infringe any third party's intellectual property, privacy or other rights;
  • Your Content is not unlawful, defamatory, offensive, discriminatory, or in breach of any applicable advertising or consumer protection rules;
  • where Your Content includes personal data of any other individual, you have a lawful basis for providing it to us.

You grant TPD a worldwide, non-exclusive, royalty-free, perpetual and irrevocable licence to use, store, reproduce, adapt, publish, display and distribute Your Content for the purposes of operating, promoting and marketing the Site and our services, including in newsletters, social media and press materials. This licence survives termination of your account in respect of materialalready published, though we will remove your listing from the Site on request.

We may edit, reject, remove or refuse to publish any content at our discretion, and we are not obliged to give reasons.

We do not verify or endorse listings. Inclusion in a directory is not a recommendation, certification or warranty as to any business, coach, venue or individual.

Intellectual property rights and database rights

All intellectual property rights in the Site and in all content on it — includingtext, graphics, logos, the TPD name and branding, page layout, photographs, guides, articles and videos — are owned by us or licensed to us. All suchrights are reserved.

Database rights. The directories, listings and datasets made available on the Site (including the court finder, player directory, coach directory, business directories, events listings and job listings) constitute databases in which TPD is the maker and owner of the sui generis database right under the Copyright and Rights in Databases Regulations 1997. We have made, and continue to make, a substantial investment in obtaining, verifying and presenting thecontents of those databases.

You may print off one copy, and download extracts, of any page of the Site for your ownpersonal, non-commercial reference. You must not modify copies of any materials, and you must not use any illustrations, photographs or graphics separately from any accompanying text.

Our status as the author of content on the Site must always be acknowledged.

Prohibited uses

You must not:

(a) use the Site in any way that breaches any applicable law or regulation, or for any unlawful or fraudulent purpose;

(b) extractor re-utilise all or a substantial part of the contents of any TPD database, or repeatedly and systematically extract or re-utilise in substantial parts of it, except as expressly permitted under section 8;

(c) copy, republish, sell, rent, sub-licence, distribute or otherwise commercially exploit any part of the Site or its content, except as expressly permitted under section 8;

(d) use any content from the Site to create, populate, enrich, verify or improve a competing directory, database, listing service, mailing list, lead-generation product or comparison service;

(e) collect, harvest or compile personal data of any member, user, coach, player or listed business from the Site for any purpose, including marketing, recruitment, sales outreach or resale;

(f) contact members or listed businesses using details obtained from the Site for unsolicited direct marketing, in breach of the Privacy and Electronic Communications Regulations 2003 or UK GDPR;

(g) misrepresent your identity or affiliation, or impersonate TPD or any other person or business;

(h) use the TPD name, logo or branding in a way that suggests partnership, sponsorship, endorsement or approval that does not exist;

(i) introduce any virus, trojan, worm, logic bomb or other material that is malicious or technologically harmful;

(j) attempt to gain unauthorised access to the Site, the server on which it is stored, or any server, computer or database connected to it; or circumvent, disable or interfere with any rate limit, access control, login requirement, paywall, CAPTCHA or other security or technical measure;

(k) attack the Site via a denial-of-service attack or a distributed denial-of-service attack;

(l) place an excessive load on our infrastructure, or interfere with the proper working of the Site or the experience of other users;

(m) frame the Site, or any part of it, on another website, or deep-link to it in a way that implies association with or endorsement by TPD;

(n) remove, obscure or alter any copyright, trade mark, attribution or other proprietary notice.

Breach of paragraphs (j) or (k) may constitute a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and will cooperate with them by disclosing your identity to them.

Automated access, crawling and data extraction

This section applies to any access to the Site by any robot, spider, crawler, scraper, bot, script, headless browser, API client, agent or other automated means ("Automated Access").

Automated Access is prohibited unless you have obtained our prior written authorisation, except for:

  • crawling by general-purpose search engines operating in good faith and in accordance with the directives in our robots.txt file, for the sole purpose of indexing the Site for public search results; and
  • accessibility tools and browser extensions operated by a human user for that user's own benefit.

To request authorisation, email developer@thepadeldirectory.co.uk with the subject line "Crawler authorisation request", providing:

  1. your organisation's legal name, company number and registered address;
  2. a named contact and email address;
  3. the URL of the website or product on which the data will be used;
  4. the specific pages, directories or datasets you wish to access;
  5. the purpose for which the data will be used, and whether the use is commercial;
  6. your crawl frequency, expected request volume and the times of day you intend to crawl;
  7. the exact user-agent string your crawler will send, and the IP address ranges it will originate from;
  8. confirmation that you will comply with the attribution requirements in section 8.3;
  9. confirmation of whether any data will be used to train, fine-tune or ground any AI or machine learning system.

We aim to respond within 14 days. We may grant, refuse or grant subject to conditions, atour sole discretion and without giving reasons. Silence is not consent. An authorisation is not granted until confirmed by us in writing.

Any authorisation we grant is:

  • non-exclusive,  non-transferable and non-sub-licensable, and personal to the named organisation;
  • limited to the pages, purposes, volumes and user agents specified in the authorisation;
  • revocable at any time, immediately and without cause, by written notice from us. On revocation you must cease all Automated Access immediately and, if we require, delete all data obtained from the Site within 30 days and confirm deletion in writing;
  • conditional on continuing compliance with these Terms, including section 8.3. Authorisation terminates automatically on any breach.

An authorisation grants a licence to access and reproduce specified data on the stated terms. It does not transfer any ownership, copyright or database right, and does not permit onward sale, licensing or redistribution of TPD data to any third party.

Any party authorised under this section must, as a condition of that authorisation, comply with all of the following wherever TPD data is displayed, in whole or in part, whether directly, in aggregated, derived or modified form:

(a) Prominent credit. A visible credit to "The Padel Directory" must appear on every page, screen or view on which TPD data appears. The credit must be:

  • visible without any user interaction (no hover, tooltip, expandable panel, modal or "sources" link required to reveal it);
  • rendered in a font size no smaller than the surrounding body text, in a colour with normal contrast against its background;
  • positioned in the same visual block as the data it relates to, or in a clearly visible header or footer on that same page;
  • present in rendered HTML, not injected in a way that hides it from users or from search engine crawlers.

(b) Backlink. Every credit must be a live hyperlink to https://www.thepadeldirectory.co.uk (or to the specific source page, where we specify one). The link must be:

  • a standard, crawlable HTML anchor (<a href="...">);
  • followable — it must not carry rel="nofollow", rel="sponsored", rel="ugc", or any equivalent directive, and the page must not be excluded from indexing in a way that neutralises the link;
  • not routed through a redirect, tracking wrapper, link shortener or JavaScript handler that obscures the destination.

(c) Approved format. Unless we agree alternative wording in writing, the credit must read:

(d) Accuracy and currency. You must not present TPD data in a way thatis misleading, out of date or likely to damage our reputation. You must refresh or remove data that we notify you is inaccurate within 7 days, and you musthonour any removal request we pass on from a member within 7 days.

(e) No implied endorsement. Attribution must not be presented in a way that implies TPD endorses, is partnered with, or has verified your product or business, unless we have separately agreed that in writing.

(f) No use of branding beyond the credit. Use of our logo, or of "TPD" or "The Padel Directory" as part of your own product or domain name, requires separate written permission.

Authorised crawlers must:

  • obey the directives in https://www.thepadeldirectory.co.uk/robots.txt at all times;
  • send a descriptive, non-spoofed user-agent string identifying the operator and including a contact URL or email;
  • crawl no faster than one request every two seconds, unless we have agreed a higher rate in writing;
  • respect HTTP 429 and 503 responses, and back off exponentially;
  • not access pages behind a login, paywall or other access control, and not use member credentials, whether their own or another person's;
  • not attempt to reconstruct our full database by enumerating URLs, IDs or sitemap entries beyond the scope of the authorisation.

Members' and listed businesses' details in our directories include personal data. Any party who collects that data becomes an independent data controller and issolely responsible for its own compliance with UK GDPR and the Data Protection Act 2018, including lawful basis, transparency, and responding to data subject rights requests.

Automated Access must not be used to build marketing lists, recruitment databases or sales prospecting tools from member data. Authorisation under this section does not constitute consent on behalf of any member, and we give no warranty that any lawful basis exists for your intended processing.

We expressly reserve all rights in respect of text and data mining, and in respect of the use of any content on the Site to train, fine-tune, ground, evaluate orotherwise develop any artificial intelligence, machine learning or generative model.

This is an express reservation for the purposes of Article 4(3) of Directive (EU) 2019/790 and any equivalent or successor provision in UK law. This reservation is also expressed in machine-readable form in our robots.txt file. No permission for such use is granted by these Terms, by any search-engine authorisation, or by the public accessibility of the Site. Any such use requires a separate written licence from us.

Consequences of breach

Where we reasonably believe these Terms have been breached, we may take any of thefollowing steps, without notice and without limiting any other right or remedy:

  • block or throttle the IP addresses, IP ranges, user agents, ASNs or devices involved;
  • suspend or permanently terminate any account, listing or authorisation;
  • issue a formal takedown demand requiring deletion of all TPD-derived data;
  • issue a DMCA or equivalent notice to your hosting provider, CDN, app store or search engine;
  • pursue civil proceedings, including for injunctive relief, damages, an account of profits and delivery up, for infringement of copyright under the Copyright, Designs and Patents Act 1988, infringement of database right under the Copyright and Rights in Databases Regulations 1997, and breach of contract;
  • report the matter to the Information Commissioner's Office where personal data has been unlawfully obtained or processed;
  • report the matter to the police or other law enforcement where we believe an offence under the Computer Misuse Act 1990 has been committed;
  • disclose your identity and any relevant records to any of the above, or to any third party pursuing a related claim.

You agree that damages alone may not be an adequate remedy for a breach of sections 6, 7 or 8, and that we are entitled to seek injunctive relief without proving special damage.

We embed identifiable markers within our published datasets. Their presence in a third-party dataset is evidence of extraction from the Site.

Reliance on information

Content on the Site is provided for general information only. It is not advice on which you should rely. Listings are supplied by third parties and may be incomplete, out of date or inaccurate. You should make your own enquiries and obtain professional advice before taking, or refraining from, any action on the basisof content on the Site.

Third-party links and listings

Where the Site contains links to third-party sites, products or resources, those links are provided for information only and do not signify our approval. We have no control over the contents of those sites or resources and accept no responsibility for them, or for any loss or damage arising from your use of them. Any dealings between you and a third party listed on the Site are solely between you and that third party.

Disclaimers

We provide the Site on an "as is" and "as available" basis. To the extent permitted by law, we exclude all conditions, warranties, representations and other terms which might otherwise be implied by statute, common law or thelaw of equity.

We do not warrant that the Site will be secure, error-free, uninterrupted, or free from viruses or other harmful components. You are responsible for configuring your own IT and platform to access the Site and for using your own virus protection software.

Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law.

If you are a consumer: we are not liable for any loss or damage that is not foreseeable, or for any loss arising from your use of the Site for any commercial, business or resale purpose. Nothing in these Terms affects your statutory rights.

If you are a business user: to the extent permitted by law, we excludeall liability for loss of profits, loss of sales, loss of business, loss of agreements or contracts, loss of anticipated savings, loss of use or corruptionof software, data or information, loss of or damage to goodwill, and anyindirect or consequential loss. Our total aggregate liability in connection with these Terms and the Site, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greaterof (a) the total fees you have paid to us in the 12 months preceding the claimand (b) £100.

Indemnity

If you area business user, or if you access the Site by automated means, you agree to indemnify and hold us harmless against all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising from orconnected with your breach of these Terms, your use or republication of TPD data, or your processing of personal data obtained from the Site.

General

Entire agreement. These Terms, together with any written authorisation issued under section 8, constitute the entire agreement betweenyou and us in relation to your use of the Site.

No waiver. A failure or delay by us in enforcing any provision is not a waiver of that provision orof any other.

Severability. If any provision is found to be unlawful, invalid or unenforceable, it will be severedand the remaining provisions will continue in full force.

Assignment. You may not assign or transfer your rights under these Terms without our writtenconsent. We may assign or transfer our rights and obligations, including on a sale of the business, without your consent.

Third-partyrights. No one other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

Survival. Sections 5 (licence granted to us), 6, 7, 8.2, 8.3, 8.6, 9, 13, 14 and 16 survive termination.

Governing law and jurisdiction

These Terms, their subject matter and their formation are governed by the law of England and Wales. You and we both agree that the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident in Scotland or Northern Ireland you may also bring proceedings in your home jurisdiction.
